Job Overview

The Corporate Legal Counsel will serve as a senior advisor to Dentons’ corporate clients operating in Tunisia and the broader MENA region. This role involves drafting, reviewing, and negotiating a wide range of commercial agreements, ensuring compliance with local and international regulations, and providing strategic counsel on corporate governance, mergers and acquisitions, and risk management. The successful candidate will work closely with multidisciplinary teams, including tax, finance, and regulatory specialists, to deliver integrated legal solutions that support business objectives. Key Responsibilities

  • Draft, review, and negotiate commercial contracts, joint venture agreements, and licensing arrangements.

  • Conduct legal due diligence for mergers, acquisitions, and strategic investments.
  • Ensure compliance with Tunisian commercial code, labor law, data protection regulations, and international anti‑corruption standards.
  • Collaborate with tax, finance, and compliance teams to assess legal risks and develop mitigation strategies.
  • Represent clients in negotiations with government agencies, regulators, and third‑party vendors.
  • Prepare legal memoranda, briefing notes, and policy documents for senior management.
